1. INTRODUCTION AND ACCEPTANCE

1.1. These Terms and Conditions (the "Terms") govern your access to and use of the website and services provided by AXIS Easy Prosper Limited (易發技有限公司), a company incorporated in Hong Kong with Business Registration Number 78669113, having its registered office at Unit S-V, R18, 6/F, Valiant Industrial Centre, Nos 2-12 Au Pui Wan Street, Fo Tan, Hong Kong (hereinafter referred to as "Company", "we", "us", or "our").

1.2. By accessing this website or integrating our API services, you ("User", "Client", or "you") agree to be bound by these Terms. If you do not agree, you must immediately cease use of our services.

2. NATURE OF SERVICES (B2B ONLY)

2.1. Software Provision Only: The Company is strictly a Business-to-Business (B2B) software developer and API aggregator. We provide technical infrastructure, Application Programming Interfaces (APIs), and game integration services.

2.2. No Gambling Operations: The Company does not operate an online casino, sportsbook, or gambling venue. We do not accept wagers, process player deposits, or hold player funds. We are not a "Bookmaker" or "Gaming Operator" under the definition of the Hong Kong Gambling Ordinance (Cap. 148) or other international gaming acts.

2.3. Not for Consumers: Our services are intended solely for commercial entities. Private individuals (consumers) are strictly prohibited from using our services or attempting to access our API for personal gambling.

3. CLIENT REPRESENTATIONS AND LICENSING RESPONSIBILITIES

3.1. Client Compliance: You acknowledge that the Company holds no gambling licenses in any jurisdiction. It is your sole and absolute responsibility to obtain and maintain all necessary licenses, permits, and authorizations required to operate an online gambling business in your target jurisdictions.

3.2. Indemnification for Regulatory Breach: You agree to indemnify, defend, and hold harmless AXIS Easy Prosper Limited from any claims, fines, legal actions, or liabilities arising from your failure to comply with local gambling laws, including but not limited to operating without a license in regulated markets.

3.3. Prohibited Jurisdictions: You warrant that you will not use our software to offer gambling services to residents of jurisdictions where such activities are illegal, including but not limited to Hong Kong, Macau, Singapore, and The People's Republic of China.

4. DEMONSTRATION CONTENT AND AGE RESTRICTIONS

4.1. Professional Evaluation Only: Any "Demo" or "Free Play" games available on this website are provided strictly for B2B technical evaluation and portfolio showcasing purposes.

4.2. Age Restriction: Access to this website and its content is restricted to individuals aged 18 years or older (or the legal age of majority in your jurisdiction, whichever is higher).

4.3. No Value: Demo games do not use real money, and no winnings, prizes, or monetary value can be derived from their use.

5. INTELLECTUAL PROPERTY RIGHTS

5.1. Ownership: All source code, APIs, trademarks, visual interfaces, and database rights associated with the Company are the exclusive property of AXIS Easy Prosper Limited or its licensors.

5.2. Third-Party Content: Game content aggregated via our API remains the intellectual property of the respective game studios (e.g., Third-Party Providers). You are granted a limited, revocable, non-exclusive license to access this content solely in accordance with a valid Master Service Agreement (MSA) signed with us.

6. DISCLAIMER OF WARRANTIES

6.1. "As Is" Basis: The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Company makes no representations or warranties, express or implied, regarding the merchantability, fitness for a particular purpose, or non-infringement of the Services.

6.2. No Regulatory Warranty: We do not warrant that our software is compliant with the specific regulations of any particular gaming authority (e.g., MGA, UKGC, Curacao). Compliance certification (e.g., RNG testing) is the responsibility of the Client or the original Game Studio.

7. LIMITATION OF LIABILITY

7.1. To the fullest extent permitted by Hong Kong law, AXIS Easy Prosper Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business goodwill, arising out of your use of the Services.

7.2. Liability Cap: In no event shall the Company’s total liability to you for all claims exceed the amount paid by you to the Company in the three (3) months preceding the claim.

8. TERMINATION

8.1. We reserve the right to terminate your access to our Services immediately and without notice if: a) You breach any provision of these Terms; b) We have reason to believe you are using our software for illegal gambling operations in prohibited jurisdictions (specifically Hong Kong); c) You fail to pay invoices as agreed in your Master Service Agreement.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

9.2. Arbitration: Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
